Independent Sales Representative Agreement

How you accept: submit the application on the reps page with the agreement box checked and your full legal name typed, or reply by email with your full legal name, "version 1.0" and the date. If we approve you, we email you a copy signed by us that includes our legal name and mailing address. Keep it.

1. Parties

The owner of Handover Sites ("Company"), whose legal name and mailing address are in the signed copy we email you, and the person named in the application ("Rep").

2. Services

Rep will offer the Handover Sites website package ($1,500, one-time) to businesses, by phone or other lawful means of Rep's choosing. Rep decides when, where and how to work. There is no minimum number of hours, calls or sales.

3. Pay

$500 per Qualifying Sale and nothing else, paid by PayPal to the address Rep provides. Rep pays Rep's own expenses and taxes.

4. When a commission is earned

A sale qualifies when (a) the owner has paid $1,500 in full through Company's payment link for a lead assigned to Rep, (b) the 7-day refund window has closed, and (c) the payment has not been reversed by a chargeback or bank dispute within 120 days after the owner paid. Payouts made before (c) is met are advances. If a payment is reversed within those 120 days, Company will tell Rep in writing and recover that one advance, $500 at most, from Rep's next commissions; if none are due within 60 days, Rep repays it by PayPal. Company never deducts anything else.

5. Payment date

Company pays each commission on the 1st or 15th, whichever comes first after the 7-day refund window closes, and in every case within 30 days after the sale. Rep doesn't send an invoice; Company's payment records are the list of Rep's sales. If Rep believes a sale is missing, Rep tells Company in writing within 60 days after the sale, and Company pays any amount owed on the next payout date.

6. Leads

Company provides leads on Rep's private leads page. A lead stays assigned to Rep for 30 days, and a sale in that time is Rep's. Rep may also bring businesses Rep finds, and Company builds samples for them. Rep never calls a number Company has not marked as cleared to call, or has marked as on a do-not-call list.

7. Independence

Rep is an independent contractor, not an employee. Rep may sell other products, including for other companies, and may use helpers or Rep's own business at Rep's own cost, if they agree to section 8 in writing. Company provides a sample talk track; using it is optional. Only Company sets the price and terms of its product.

8. Legal requirements

These come from federal and state telemarketing, email and consumer-protection law. Rep will: dial by hand, with no autodialer, prerecorded or AI voice, ringless voicemail or text messages; call only between 9am and 8pm in the business's time zone unless the owner asks for another time; within the first 30 seconds give Rep's name, Handover Sites, that it is a sales call for a $1,500 website, that the call is not recorded, and an offer to add them to the do-not-call list; describe the price and terms accurately and suggest no connection to any government agency or licensing board; mark do-not-call requests at once and never contact that business again; never accept a payment or card details; never buy a web address matching a business's name; and never show a sample to anyone but that business. Company may end this agreement for any breach of this section, and no commission is owed on a sale made through a breach.

9. Where Rep works

Rep lives and works in Alabama, Arizona, Florida, Georgia, Kansas, Kentucky, Missouri, New York, North Carolina, Oklahoma, South Carolina, Tennessee, Texas, Utah or Virginia, and will tell Company before moving to another state. Company may end this agreement if Rep moves to a state where it does not engage representatives.

10. Taxes

Rep gives Company a completed IRS Form W-9 before the first payment. Company issues tax forms as the law requires.

11. Confidentiality

Lead lists, leads pages and customer details stay confidential during this agreement and after it ends.

12. Copies and signature

Company emails Rep a copy of this agreement, signed by Company, before Rep starts, and keeps it for at least six years. Rep accepts as described at the top of this page.

13. Ending

Either side may end this agreement at any time by email. Commissions on sales already made are still paid under sections 4 and 5.

14. Governing law

This agreement is governed by the laws of the State of New York.
